Commercial due diligence and expert consultations on software assets

The work

Assessing the real health of a software business

Buy side or sell side, across commercial, operational and cultural dimensions. The job is to work out what is actually true about the business, beyond what the CIM says about it.

Diligence on a software asset fails in predictable ways. The retention number is technically accurate and commercially misleading. The pipeline is real but the conversion assumption is not. The product roadmap is credible and the engineering capacity to deliver it is not. The management team is impressive and the second layer does not exist.

Catching those requires someone who has run the functions being assessed. Corinium Advisory brings operating experience in enterprise SaaS, and in regulatory reporting and supervisory technology, gained across bootstrapped, venture backed, private equity owned and publicly listed businesses in the UK, EMEA and the Americas.

Work is available as a full scoped diligence workstream, a targeted second opinion on a specific thesis risk, or a single expert consultation for funds and expert networks who need a sector operator on the phone quickly. Desktop market mapping and face-to-face customer and competitor interviews are both in scope.

Coverage

What a diligence workstream examines

Scoped to the investment thesis and the questions that would actually change the decision.

01

Market and competitive position

Where the business genuinely sits, who it loses to and why, how defensible the position is, and whether the market it claims to address is the market it actually sells into. Combines desktop market mapping with primary interviews.

02

Customer economics and retention

Concentration, cohort behaviour, gross and net retention read properly rather than presented favourably, pricing power, and whether renewal is a decision or an assumption. Includes direct customer reference conversations where the process allows.

03

Go-to-market efficiency

Sales productivity, pipeline quality, the realism of the coverage model, and whether the growth plan depends on hiring that has not worked before. The most common source of a plan that misses in year one.

04

Product, technology and delivery

Whether the roadmap is deliverable with the team and architecture that exist, where technical debt constrains commercial options, and how much of the differentiation is product rather than service wrapped around it.

05

Organisation, leadership and culture

Whether the management team is the one that delivers the plan, where the single points of failure sit, and what retention risk the transaction itself creates. Frequently decisive and frequently under-examined.

06

Vendor diligence and exit readiness

For founders and sellers: building the story and the substance that commands the right valuation, identifying what a buyer will find before they find it, and closing the gaps while there is still time.

FAQ

Due diligence questions

Do you take single expert consultations as well as full workstreams?

Yes. Alongside scoped diligence workstreams, Corinium Advisory takes individual expert consultations for funds, lenders and expert networks that need an operator view on a specific software sector or asset at short notice, particularly in enterprise SaaS and in regulatory reporting and supervisory technology.

Do you work sell side as well as buy side?

Both. Sell-side work focuses on vendor diligence readiness and equity story preparation: finding what a buyer will surface before they surface it, and building the evidence that supports the valuation being sought.

How does this differ from a large diligence firm?

It is operator-led rather than analyst-led, and scoped to the handful of questions that would genuinely change the decision. For larger processes it works well alongside a full-scope provider, taking the commercial and operational questions where lived experience in the sector matters most.
