# Corinium Advisory

**Operating partner mandates and commercial due diligence for software businesses, with non-executive director and Chair roles on software boards.**

Corinium Advisory is an operator-led advisory business working with founders, CEOs, boards, investors and leadership teams in B2B and vertical software. It is the advisory arm of Corinium Capital and is led by Robin Smith, former Chief Operating Officer of Regnology.

Corinium Advisory trades as Corinium Capital Advisory Ltd, company number 17006640, registered at Unit 9, Tetbury Road, Cirencester, GL7 6JJ, England. It is a separate and unrelated business to Corinium Intelligence, Corinium Global Intelligence and Corinium Access.

## Why Corinium Advisory

Few advisors have held senior leadership roles across bootstrapped, venture-backed, PE-owned and publicly listed software businesses. Fewer still have done so from pre-revenue to more than GBP 200 million of annual recurring revenue, in the US, UK and EMEA.

- 20+ years in SaaS and enterprise software
- 200+ person teams grown and restructured
- 4 M&A transactions completed
- More than GBP 200 million of enterprise value acquired and integrated

## The three mandates

### 1. Operating partner mandates and value creation

An operating partner sits between the investor and the management team and owns a mandate with a measurable target, rather than delivering a report. For private equity funds and portfolio boards, Corinium Advisory takes that role on a single asset or across a portfolio.

Scope: operating model design, revenue operations, data and tooling infrastructure, board governance, EBITDA improvement, go-to-market restructuring, post-acquisition integration and 100 day planning.

### 2. Commercial due diligence and deal support

Buy side or sell side, across commercial, operational and cultural dimensions. For investors, lenders and acquirers, Corinium Advisory assesses the real health of a software business beyond the CIM, whether through a scoped diligence workstream or expert consultations drawing on direct operating experience in regulatory reporting and supervisory technology, and in enterprise SaaS. For founders preparing to sell, it helps build the story and the substance that commands the right valuation. As comfortable with desktop market mapping as with face-to-face customer interviews.

### 3. NED and Chair roles, leadership succession

Robin Smith takes non-executive director and Chair appointments on the boards of B2B and vertical software companies, whether founder led, venture backed or private equity owned. He is available for new UK software company board appointments.

On a board he brings commercial and go-to-market oversight, operating model challenge, M&A and exit readiness, and CEO succession planning. The same experience applies to the transitions themselves: a founder stepping back post-acquisition, a PE firm professionalising the management team, or a CEO planning their own succession.

### Founder exit, liquidity and succession

Independent, founder paid help for founders of UK B2B and vertical software businesses thinking about a full sale, partial liquidity, growth equity or handing over to a successor: the thinking, exit readiness, sell side adviser selection and introductions to the right buyers and funds. ## Supporting services

- **Go-to-market strategy and optimisation.** Pricing and packaging, demand generation, sales process and customer success. For US software companies, standing up and leading the first commercial presence in EMEA.
- **RegTech and regulatory reporting sector expertise.** Sector due diligence, expert consultations and board level judgement for investors, lenders and acquirers assessing regulatory reporting and supervisory technology assets. ## Approach

1. **Discovery.** An initial conversation, always free and always confidential, to understand the business, the ambitions and the challenges.
2. **Diagnosis.** A structured assessment grounded in data, conversations with the team, customers and competitors, and operational pattern matching.
3. **Action.** A clear, prioritised plan with concrete next steps, implemented alongside the team rather than handed over as a deck.
4. **Transition.** Building capability, not dependency.

## Robin Smith, Managing Partner

Robin Smith is a C-level technology leader with over 20 years scaling SaaS and enterprise software businesses from early stage to maturity across the UK, EMEA and the Americas.

He has owned revenue and led go-to-market, operations, cross-functional programme delivery and M&A at companies scaling from Series A to the Fortune 500. He has built teams from the first commercial hire to a scaled organisation, and built and led the first European presence for US-headquartered software companies, from a Y Combinator startup through to a venture-backed scale-up. He has operated across the full spectrum of ownership models: bootstrapped, venture-backed, PE-owned and publicly listed.

Most recently he was Chief Operating Officer of Regnology, the regulatory reporting and supervisory technology provider backed by Nordic Capital and CPP Investments. There he led due diligence and integration across four acquisitions, and supported the partial divestiture to CPP Investments.

He brings M&A experience from both sides of the table, across buy-side acquisitions, sell-side processes and post-deal integration.

Today, Robin advises founders, CEOs, boards and investors of software businesses, takes operating partner mandates, and is available for non-executive director and Chair appointments on UK software company boards.
