# Commercial Due Diligence on Software Assets | Corinium Advisory

Buy side or sell side, across commercial, operational and cultural dimensions. The job is to work out what is actually true about the business, beyond what the CIM says about it.

## What a workstream examines

- **Market and competitive position.** Where the business sits, who it loses to and why, how defensible the position is.
- **Customer economics and retention.** Concentration, cohort behaviour, gross and net retention read properly, pricing power.
- **Go-to-market efficiency.** Sales productivity, pipeline quality, realism of the coverage model.
- **Product, technology and delivery.** Whether the roadmap is deliverable with the team and architecture that exist.
- **Organisation, leadership and culture.** Whether the management team delivers the plan, where the single points of failure sit.
- **Vendor diligence and exit readiness.** For sellers: finding what a buyer will surface, before they surface it.

## Formats

A full scoped diligence workstream, a targeted second opinion on a specific thesis risk, or a single expert consultation for funds and expert networks needing a sector operator quickly. Desktop market mapping and face-to-face customer and competitor interviews are both in scope.

## Who commissions the work

Private equity funds, credit funds and lenders, corporate acquirers, expert networks, founders preparing for a sale, and boards wanting an independent read.

## Common questions

**Do you take single expert consultations?** Yes, for funds, lenders and expert networks, particularly in enterprise SaaS and in regulatory reporting and supervisory technology.

**Do you work sell side?** Both. Sell-side work covers vendor diligence readiness and equity story preparation.

**How does this differ from a large diligence firm?** Operator-led rather than analyst-led, scoped to the questions that would genuinely change the decision. Works well alongside a full-scope provider.
